Meeting was called to order at 12:03 p.m.

The agenda was presented. A motion to accept the agenda was made by Jean and seconded by Ted.
Minutes for the meeting for the April were presented. It is noted that Visitor’s name, Anna VanDemark was spelled incorrectly. Greg made a motion to accept the minutes. Dirk seconded the motion. The motion carried.

The Treasurer’s Report- a balance of $3,515.46 is in our account. Our IRS report is due on May 15. Because we have an operating budget of under $50,000 it is option to report to the Attorney General’s office, but Greg will still report prior to July 15 so that possible Grantors can access this info.

Committee Reports & Projects

Projects

  • Family Art Day: The grant was received & fully funded! It will once again be the First Saturday in September/ Labor Day weekend. There is discussions on how to involve Project FINE this year.
  • HBC Fence: Julia is working with Chad from the City to redesign & relocate the current fence during the Levee Park remodel.
  • Member's Exhibit: Still accepting submissions. Members can submit up to 3  pieces. RAA will once again help accept payment, but will only charge the artist for the fee to cover PayPal fees. The show will open on June 23rd. Art work is still needed for the banner for out. Board and members should make sure to spread the word.
  • Arts Schmooze/Co-sponsored Events: It was discussed that the purpose of our Art Schmooze’s should continue to have some kind of social component. Upcoming RAA Art Schmooze’s:
    1. May 18, 5-7pm: The Outpost, highlighting photography exhibit and an update from Matt F. about the space.
    2. June 27, 4:30-6:30pm at Blue Heron: Book Release Launch for Kathy Peterson’s book. We could be a co-sponsor for this event as we were for Ken’s book release.
    3. July 29, 3pm (subject to change): History Center, Schmooze during “Inspired” The Art of Fine Furniture.
  • The Winona Daily News Arts Column: Sharon Mansur and Greg will write column’s soon.
  • Winona Radio: We plan to work with Greg Taylor at Winona Radio to have a monthly interview about RAA happenings. Hopefully the interview will switch around between different board members and help us reach a new audience.
  • Membership: We have been getting a steady flow of renewals and new memberships. A discussion was had that we might need to rethink membership to help us encourage non-artist community member or organizations to become champions/ supporters. We also may need to re-look at couples/ family membership options.
  • Masonic Center: The possibility of have a Winona area variety show/ Winona Sampler was discussed. This event would help showcase things that happen in Winona and could feature GRSF, WSO, Ken M., MCA, Municipal Band, and more.
  • Bluff Country Studio Art Tour: Sue P. invited Vicki to speak to the artist group on May 11th about RAA.
  • Other Awareness/ Project  Ideas: Plein Air around the lake, an RAA promotional booth at GRSF and during the Farmers Market.
  • Committees: Vicki presented a list of committees and encouraged each board member to be on one committee.

Committees

  • Finance: Jean will be chair and a meeting was set for Monday, May 22nd at 11am at the Blue Heron.
  • Volunteer Committee: We need someone to help organize mailing, FAD, putting up posters, member exhibit shifts , WAW and the fence. Tove is willing to help.

Announcements

  • Jean can make frames if there are any poets looking for assistance
  • Dirk has a show at the Austin Arts Center May 19-July 7
  • MCA is preparing for the National Tap Dance Day Celebration at SMU on May 21 at 7pm

Projects

  • Family Art Day: The grant is in. Tove will coordinate & Vicki is will co-coordinate. It will once again be the First Saturday in September/ Labor Day weekend. There is discussions on how to involve Project FINE this year.
  • HBC Fence: Julia is working with Chad from the City to redesign & relocate the current fence during the Levee Park remodel.
  • Member's Exhibit: After last year’s success RAA members will have the opportunity to submit up to 3 pieces per member. Members will be able to sell work and the only fee would be to cover the paypal fees incurred by RAA. WSU will print a new banner if we pay. It was discussed that even poetry mounted nicely could be included in the exhibit.
  • Arts Schmooze/ Annual Meeting: Possible collaboration with the Art of Fine Furniture show at the History Center and a Schmooze at Outpost/ Art of the Rural during John Swanson Photography Exhibit.
  • The Winona Daily News Arts Column is going really well. Vicki is scheduling artists and organizations for the 500-600 word weekly column which features personal stories that help educate and showcase the importance of arts in our community.
  • Eugene McCarthy Project: we are no longer involved, they decided to work with other funding sources.
  • Masonic Update: The city is working on bonding to start renovations. There will be a meeting on April 27th to discuss the historic drops.
  • Membership: We have been getting a steady flow of renewals and new memberships. Kathy P. updated our membership letter and we still need to encourage new members and organizations to join.
  • Committees: Vicki presented a list of committees and encouraged each board member to be on one committee.

Approve Agenda/February Minutes

Treasurer’s Report: Jean handed out a January thru February report.

Committee Reports

  • Projects:
    Writers Workshop: On-line sign-ups have begun and we have a brochure which we’ll distribute around town.
    Fence: SEMAC grant being completed and will be sent to SEMAC before the April 1 application deadline.
    FAD: Tove will take on coordination of Family Art Day.  SEMAC grant will be completed before the April 1 application deadline.  This grant is coordinated with the City.
    WDN columns: We have not missed a week since inception.  An article about the Writers’ Workshop will appear next week and one about the Winona’s literary history in a couple of weeks. Vicki will check whether these articles are being archived on the website.
    McCarthy grant: Vicki is in contact with Kellie Green.  Several WSU faculty are on board with the grant. Vicki is setting up an account with the MN History Center in order to complete the application.  Deadline is April 14th.
    Members’ Exhibit:  Vicki will contact Roger at WSU.  It will likely be held during the same time frame. There was discussion of music and or poems at the reception. Kathy will make sure that Aaron Young and Eileen Moeller of the GRSF staff know about the exhibit.
  • Communications: Member drive:  Vicki is going thru the alphabet to send letters to prospective new members. She is able to personalize letters for people she knows.  We are receiving new members as a result.  Tove reviewed the list for updating.    Website help for Heidi:  In the future Tove might be able to assist Heidi with the weekly update.
  • Executive: Strategic Plan:  The plan has been updated for 2017 and sent out to the Board. The suggestion is being made that the plan be a five-year plan.  Multi-year items may be labeled as ongoing. It’s important to be more proactive than reactive in the Winona downtown and how the arts can be a part.  RAA’s engagement should be part of a multi-year strategic plan. Specific projects and areas should be included with our plans for participation.  Wording for employee and office space should be more specific and dated with a timeline.

Grant Discussion

  • Julie Johnson has reported some research regarding grant writing for operations costs.  Encourages us to go local for Foundation help first.  We will go to the SEMAC grant first.  Then there are several other options outlined by Julie.  We should be keeping track of our volunteer hours for grant writing purposes and to create a bigger picture of what we’re doing.  

March Schmooze

  • Last minute items?  Next Schmooze is Tuesday, March 14 at Nate & Ally’s.  Winona Symphony is the host.  Vicki will bring a donation jar at the Schmooze.
  • Volunteer committee: who will chair?  Chris Livingston and others have expressed interest in volunteering. Live Well Winona has a volunteer opportunity site where community groups can be listed.  Perhaps RAA could be listed.  We should think about how volunteers could be utilized and recognized.

Other/Announcements

  • Climate march on April 29th is looking for art supplies, donations or advertising for the event.  Vicki will send out a notice about the event to members.

Committee Reports & Projects

  • Communication: Membership drive. Set meeting date/time. Heidi, Tove, Vicki will meet in March to discuss membership drive.  Heidi and Vicki may meet informally during February.
  • Executive: Winona Foundation grant opportunity: operations focus. Strategic Plan. Set meeting date/time: Thursday, Feb 16, 10:30am at the Heron. Need to get together to discuss a new strategic plan.  Vicki, Jean & Greg to meet.
  • Projects: FAD, Fence, Writing Workshop, Member Exhibit at WSU
    Suggestion was made by Julie Johnson as Grants Consultant to apply to the Winona Foundation (Seattle) for an operations grant.  Application due by March 1. Heidi applied unsuccessfully for a Children’s Symphony a couple of years ago.  Their focus appears to be mostly on a historical basis or building projects.
    Discussion of what operations revenue might be used for.  Vicki suggests website maintenance.  Jamie suggests putting funds in the direction of cyber space as that’s where the bulk of RAA activity exists, as there currently is no office other than Vicki’s house.  Discussion of bookkeeping help: Jean indicates not currently the priority.
    Heidi suggests a part time position of ten hours per week and fifteen dollars per hour.  Discussion of how to pay and where a person might work:  will a person be under direct control.  Could be a stepping-stone to a steady part time employee.  Possibly send out letters for membership renewals. There is also the newsletter and sharing Facebook posts. Another possibility would be participating in shared office space.  Administrative and technology is a priority before shared space.
    Vicki, Julia and Greg to get together for SEMAC grants.
    Nothing further is known on prospective writing workshop.
    Plein Aidr project discussion with Dave Bass from La Crosse has begun with a couple of board members.
  • Create Volunteer Committee? Some people have approached Vicki regarding volunteer opportunities with RAA.  Might we place some type of volunteer opportunity on the website?

Meeting with City of Winona Arts Coordinator

  • Vicki met with Lee Gundersheimer last Tuesday to discuss ideas to work with the City and RAA. Lee envisions visual art throughout City Hall and reading and performances in Council chambers. Does not look as though the masonic proposal will proceed as originally envisioned.  Review of survey received from Lee: smaller, more concise, space for comment. Vicki will send survey out to the RAA contact list.  Fine Arts Commission is reworking their strategic plan and part of it will be getting info from the community about city planning for the arts.

  • Schmooze date for March: Winona Symphony orchestra will be community entity.  Sunday March 12th or Tuesday the 14th.  The 14th is preferred and 5:30 to 7:00 at Nate & Allie’s.  Possibly they would offer a dollar off for Schmooze participants.  Can we offer box wine?  Jamie will make a contact with Dennis McEntaffer. Music? Subsequent locations might be History Center (Jamie’s show), Island City, Outpost (Art of the Rural), Winona Art Center. 
  • Tove announced that she has resigned from MMAM as of March 3rd.

Jean presented the Treasurer’s Report. A discussion on how to make the report easier to present at the annual meeting ensued. A suggestion was made that we create an audit committee.

  • Family Art Day: Tove is considering coordination or co-coordination, Vicki is willing to co-coordinate. It will once again be the First Saturday in September/ Labor Day weekend.
  • Arts Schmooze / Annual Meeting: The annual meeting is scheduled for Jan. 26th at Minnesota Conservatory for the Arts. We will present our list accomplishments for year one, the financials, vote on board members with terms ending and new members and ask for ideas on what areas members would like to see us focus on.
  • Eugene McCarthy Project: Jean motioned and Heidi 2nd, motion carried to move forward on this project. There is a bit of concern about the time involvement, but as long as we are a partner and it stays relevant to the Winona community there is support from the board.
  • Winona Art Walk: Vicki will be meeting with Maryann F. next week to get an update.
  • Communications: It was discussed that the frequency and mode of e-blasts needs to change. Heidi will create an online form for members to input events in a more structured fashion. Come mid Feb. Tove is willing to send out a weekly email e-blast. A Schmooze News will be sent out about the annual meeting at least 2 weeks prior to the meeting as needed by the bi-laws.
  • Membership: an email reminder will be sent out to members who need to renew. A grace period of one month will be given before member pages are taken off the website (just hidden).
  • Writer’s Workshop: Alverna Center has offered to host the program at no charge if the right date can be found and if SMU students can attend for free. Funding is being finalized and instructors/ presenters are being vetted.
  • Budget: Jean has devised a check request form and procedure.
  • The Winona Daily News Arts Column is off to a great start. Vicki is scheduling artists and organizations.

  • Family Art Day: We were under budget this year. Vicki is working on the report.
  • Arts Schmooze / Annual Meeting: We hope to have the annual meeting around March 14th. MMAM is choice number 1. Other options include MCA and the History Center. We need to work on a list of accomplishments and a 2 year strategic plan to present.
  • Fence Project: The Oct. 1 SEMAC grant was applied for for the fence project with $2,000 matching grant promise from HBC. The Grant App. is pending.
  • Eugene McCarthy Project: Marty Beth & Kelly Green are looking to partner with a local non-profit to digitize film footage needed to make a film about Eugene McCarthy with a hopeful release in 2018. All were in agreement to pursue more information and for Vicki to arrange another meeting to discuss the project. There may be room for collaboration with other Winona organizations such as the History Center & FRFF.
  • Winona Art Walk: There was an article in the Post & Daily News.
  • Bluff Country Studio Art Tour: No updates.
  • Communications: Tove, Vicki & Heidi have drafted the membership letter that will be sent during member’s renewal month.

Other

  • Vicki will talk about RAA on Dec. 14th at 1pm for Learning Club at the History Center in the Education Room
  • Vicki went to an MSAB Evaluation Workshop and plans to share information from the event with the board.
  • A discussion of possible new board members was had.
  • Vicki has discussed with the Daily News about about having an Arts & Culture Column that could feature articles that feature benefits of arts education, economic impact of the arts, history or arts organizations within the community or features on artists.

  • Family Art Day: Everyone has been paid. Vicki is work on the report/manual. David will help talley and compile survey data for the MSAB report. The event was documented extremly well thanks to Jean Dowd, Mary Farrell and Jamie Schwaba.
  • Arts Schmooze: The October Arts Smooze with Nicole Chamberlain-Dupree the new Executive Director of MMAM was successful held on 10/25/16, 5-7pm. Flutistry entertained and Jefferson's served wine, beer & water.
  • Fence Project: The Oct. 1 SEMAC grant was applied for for the fence project with $2,000 matching grant promise from HBC.
  • Winona Art Walk: We got a great deal on postcards to be printed by Fastenal. Daily Nws & the Post have announced it. Maryann will be doing maps and a Facebook event.
  • Executive Committee: Discussion about BCSAT fees and institutional member resolutions for organizations with up to 3 locations/sections. Jamie will collect some info and ideas, David will send Chamber group member info to see how that is modeled.
  • Bluff Country Studio Art Tour: 5% Fiscal sponsor/ agent fee agreed on. A discussion on how SEMAC uses fiscal sponsor/ agent interchangeably was had.
  • Communications: Vicki is working on the membership letter for the new year. Jamie will come up present some questions that could be distributed using our website’s Ninja forms or Survey Monkey to gage member happiness, wishes, and ideas.

  • Vicki will talk about RAA on Dec. 14th at 1pm for Learning Club at the History Center in the Education Room

  • Arts Schmooze: The October Arts Schmooze will be with Nicole Chamberlain-Dupree the new Executive Director of MMAM. Tove arranged with Nicole to meet stage the Schmooze 10/25/16, 5-7pm at MMAM.  Other ideas for future Schmoozes that were discussed were a tour of the new WSU Laid Norton Building and our Annual meeting in Jan.
  • Fence Project: The Oct. 1 SEMAC grant was applied for the fence project with $2,000 matching grant promise from HBC. HBC/ the City also stated that the fence will not be harmed by any renovations made to Levee Park.
  • Winona Art Walk: PayPal forms are on the website. A discussion about an extended deadline should be made. Next year the definition of a Gallery needs to be defined. Creating a collective mailing list was discussed and the number of artist postcards received by board members will be studied to see if there is duplications. The Outpost said they would be willing to be a Winona Art Walk or possibly a Holiday Gallery. We would like to find a way to help mentor emerging artists through this process in the future.
  • Executive Committee: The possibility of needing to invest in board insurance as we grow and especially as a Fiscal Agent was discussed. An Executive Committee meeting was set for 2pm on Monday Sept. 26th.

Bluff Country Studio Art Tour

Discussed what percentage/ fee for fiscal agency/sponsorship should be charged- was tabled for the Executive Committee meeting. It was also identified that we need to define if we are a fiscal agent or fiscal sponsor, as these mean different things, especially in the eyes of SEMAC. Tour Members have started to join RAA.

Other

Jeanne brought of the idea of hosting a Spring Art Exhibit around Lake Winona that would include a Plein Air event.

  • Schmooze: 8/17 from 5:30-7:30pm at MCA. Jamie Schwaba will present “The Art of On-Line Marketing”. Vicki will send out a press release by the end of the week.
  • Committee: Met on July 20th and discussed the setting of parameters for member communication, in an effort to streamline and formalize the process. Also, the possibility of setting up an on-line form to submit events and a transition plan to the new system. These issues are on Heidi’s to-do list.

  • Appointed Jamie Schell as calendar liaison to Visit Winona
  • WSU Foundation Trustees want to invest in arts in the community and one possibility is to find funding to create and maintain a community calendar.
  • Karen Fawcett wants to meet with Vicki and Jamie Schell to discuss a possible paid position to manage the calendar, to avoid burn out from volunteer frustration.
  • Ron Dempsey is thinking about a separate calendar similar to Winona 360.

Projects

  • Members’ Exhibit: Was a success. Sales included 2 ceramics, Linda Sue Eastman’s mirror, a block print, and Peter Flick gave one item to a visitor. Working with Roger Boulay was easy. He’s ready to partner again next year. He was very accessible and did a great job installing the show. Most of the activity seemed to be after the concert. Should probably have directional signs next year and maybe one in the theatre. Next year, we should think about emphasizing the value of artists staffing the show – maybe mention their names at the concerts. Possibly offer more music and maybe poetry.
  • Family Art Day: Volunteers are still needed and Anne Plummer’s students may be available. Board members are needed – all hands on deck! Winona Rental will set up chairs, tent, and tables on Friday then pick up on Tuesday (after Labor Day). Cost will be $800. The advisory committee will meet later today. Check with Wincraft about buttons.
  • Bluff Country Studio Art Tour: Meeting with Sue Pariseau on August 15th at 9am to discuss Fiscal Agency at Vicki’s house.
  • Winona Art Walk: Teresa Schumaker wants to help. Julia has prototype of card and we may need bulk to mail.
  • Arts Block Party: Is not happening.
  • Garage Sale: Most likely not happening.

  • Board agreed to appoint Jamie Schell to be the liaison between RAA and Visit Winona regarding a coordinated arts calendar.
  • Vicki attended a meeting with officials from WSU Advancement and the WSU Foundation to discuss the need for a coordinated calendar. Visit Winona was not present but has a comprehensive calendar. A suggestion to look into Winona 360 was made – it included a calendar, news, and blog. Ron Dempsey asked Karen Fawcett to go to the Trustees for potential funding. A large meeting of this group is scheduled for September 1st.

Communications

  • Brochure: Board members are asked to mark up existing brochure with their ideas for a new version including projects. One addition is to add “annual” to “membership” as a clarification.
  • Banners: Corey at Off Center is printing them.
  • Testimonials: Could be a good addition to the brochure and website.
  • Letter to the Editor: About Member Exhibit – Vicki will ask Kathy Christenson about submitting a letter.

Art Schmooze

Projects

  • Member Exhibition: Next year will be easier. We can reuse the info packet that Vicki compiled. We plan to charge a small commission in 2017. There was a great turnout and great response to the opening and the exhibit, including a couple of sales. Concerts on the Green end at 7pm so it’s important to stay open until 7:30pm. Gallery sitters have been asked to encourage visitors to sign the guest book and try to count attendance. Flutistry will be asked to play at the exhibit on July 29th. For next year, should RAA donations be encouraged? This is part of a larger conversation about how donations should be used. Exhibit expenses include the phone, banner, food, and PayPal fees.
  • Family Art Day: Vicki is creating a manual to help with future years’ planning. We’re in good shape regarding supplies. The city will give RAA a $500 grant. We are not asking Slaggie or Callendar King this year in anticipation of needing their help in future years. (The City of Winona may apply for the SEMAC grant in the future for a different project, so we may need resources for additional funding.)
  • Fence Project: Grant report has been submitted. Thanks to Greg Peterson and Julia Crozier. There will also be a public “Mural Paint In” on Saturday, July 16th organized by Julia. Deadline to apply for Phase 2 SEMAC grant is October 1st.
  • Art in the Windows: David’s goal is to connect artists with businesses by the end of the day, Tuesday, July 12th. Should be in stores by Friday, July 15th. Discussed having an article in the paper. Goal to have the website and contact list ready by Sweet Stroll on July 21st.

Finance

  • Members are Greg, Jean, and Vicki.
  • They will discuss fundraising for operating expenses.

Arts Block Party

  • Sam Brown and Jacob Grippen requested that RAA be a partner. City Council must approve before going forward. Sam would like for RAA to organize a plein air activity.

Other/Announcements

  • RAA will meet with the Fine Arts Commission on August 2nd at 5:30pm in the Winona Room, City Hall. Discussion will focus on partnering and the possibility of restarting their grant funding.
  • Vicki has talked to Brian Sharp (Bernadette’s son) about helping him with a garage sale to sell her art supplies: beads, equipment, tools, books. We would split the proceeds and apply RAA’s share to Family Art Day. There is a neighbor who will help and Julia Crozier has offered to help. We need to invite the arts community, including reaching out to artists in Lanesboro, La Crosse, Rochester, and Decorah.
  • Jamie Schell has a presentation scheduled at WCHS on Wednesday, June 13th.
  • Cherie Harkenrider’s resignation was accepted by the board.

Calendar discussion, Jamie Schell:  WSU called a meeting to discuss calendar issues relating to visit Winona and RAA.  River Arts Alliance has more flexibility than Visit Winona regarding calendar.  How can RAA leverage interested entities and come up a long-term mechanism and funding to manage a community calendar, possibly including a position, in coordination with Visit Winona?  Jamie will discuss the feasibility of coordination with Visit Winona and report back.

Member Exhibition - Jamie: A motion is made to purchase a tablet at $100 or less for official River Arts Alliance business. Jamie Schell spoke with Connecting Winona about utilizing/adopting their online calendar; however we are still unsure if it could be embedded so we could add workshops and additional workshops. 

It was discussed that members could have a monthly deadline to submit events to the Schmooze newsletter. This would be a great way to showcase what members are doing. Heidi said she could create an event submission form for the website.

Family Art Day - Jamie head the grant review panel and it was favorable, they only wanted to know if there was an alternative location if there was rain. The East End Rec Center was discussed a possible alternative location, should one ever be needed. Chad from the City mentioned that the city continues to plan to support FAD as a partner (donating $500), however mentioned that at some point they may want to apply for a SEMAC grant for other projects and so RAA would need to be the organization applying for FAD. UPDATE….. WE GOT THE $10,000 GRANT!

Arts Schmooze - The second Arts Schmooze will be June 18th at the History Center and will coincide with the opening of the Art of Fine Furniture.

Fence Project - The plan is to apply for the Oct. 1 SEMAC grant. Waves are up. Julia will give a report once back from her trip. She has materials for summer and Monta is working on the mosaic pannels.

Main Street Initiative/ Art in the Windows - Coming along, still waiting are artist bios.

Member Art Show - June 15 will be the drop off date, Installation will have on June 16-17th. Roger will create title plaques, will need sales info, titles and etc. from the artists. Organizations may have the opportunity to have their info out/ have a table. The exhibit will be open:
July 2nd, 8th, 9th, 15th, 16th, 22nd, 23rd, 29th, & 30th, 4-7:30pm, around GRSF and when possible during bus tours.
Hoping artists, member organizations and Friends of Will will help man the gallery. We are still working out the process for taking payments. Do we need an ipad or tablet for taking payment at events like this? In the future do we need to discuss taking a commission (suggestion was 10%).  For this exhibit we will not be taking commission so we discussed making a sign asking for donations that states that RAA supports local artists and does not take commissions.

Partnerships

Greg & Vicki reported on the Laid Norton Building meeting. WSU asked what it could do for the arts and RAA.

Discussed how and where partnerships should/could be listed on the website. The possibility of calling the page “alliances” would be great. The organizations that that give up legitimacy elevate us through their brick and mortar capabilities and help us make an economic impact are: City of Winona, WSU, Visit Winona, Main Street, History Center, and HBC. We want to make sure that we also recognize the importance of industries such as Winona Canoe & Fastenal.

Other

Lynette Powers’ grant for the Latsch Sculpture to Winona Foundation was turned down. They encouraged her to try again next year, but not for the entire project ($35,000).

Jean recommending exploration of Office 365 for Nonprofits for RAA correspondence emails instead of board members using their personal accounts. This could be important in the future.

Heidi also showed/discussed other updates to the website including the completion of new member pages and a tribute to Bernadette.

Fence Project- The plan is to apply for the Oct. 1 SEMAC grant. Julia Crozier will stay on board to finish the project, but has not heard from Monta. Lynette Power is not able to do the pillars but knows someone who may be able to help with tiles.

Main Street Initiative/ Art in the Windows- Vicki & David have met with 6 of the 8 artists and are moving forward with creating 500 character or less bios. All artists have been matched to a business. The RAA logo will join the Downtown logo on the signs.

2017 Book Festival- is on hold right now.

RAA needs to start building a reserve. It was agreed upon that RAA needs operating support.

Ideas for fundraising:

  • Julie Johnston’s Prospectus for Grant Consulting was reviewed as a possible consultant to help in securing operating support.
  • Heidi mentioned we need a way to support local artists, an event for them to present. “Local Arts Matter” campaign, similar to “Buy local” or Small Business Saturday with an arts slant.
  • Jamie brought up the idea of a punch card for local arts organizations similar to UPAF (United Performing Arts Fund) in Milwaukee.
  • Funds raised could be used to recognize or honor a member or organization at an annual meeting
  • Jean will investigate Winona Hims proposals for their concert proceeds.
  • Other grant/ funding opportunities might be: Merchants Bank, Bremer Bank, Home Federal,  & Winona Community Foundation.

Bluff Country Art Tour update

Sonnet Contest - Heidi motioned that RAA collect paypal fees for the Sonnet Contest (be the fiscal agent) to help them save on Paypal fees. Currently the Contest pays 9% on each $5 entry fee, because RAA is nonprofit the fee is much less. RAA will collect 1% of the Contest’s income as the fiscal agent. Jean seconded, Motion passed.

Heidi said she would look into online form options to capture new member information before they make payments through PayPal.

Heidi will send out a bimonthly enewsletter called “The Schmooze” to announce our first Arts Schmooze and other RAA and member events.

The board page will be updated to put Bernadette’s profile as in memorial and take Andy off. Vicki is going to check to see if Andy is ok with being credited in the history section of RAA.

Greg reported on a meeting with Pat Mutter from Visit Winona about the possibility of using their virtual calendar on the RAA website. This might work better than WinonaBuzz as it is staffed and carries most area art events. However, because of city funding Visit Winona has guidelines to adhere to that may be a barrier to listing certain member events. As a member of both boards Jamie Schell is going to work as a liaison between RAA and Visit Winona to help aide in working out details.

Greg presented the Treasurer’s Report. He reported a bank balance of $6,804.36 made up of $4,343.42 for the fence project and $1,740.94 for general use. Memorial gifts on behalf of Bernadette were received in the amount of $340 with $70 specifically designated for the Fence Project. There were six new members added since the last meeting. The treasurer’s report was accepted.

Executive Committee Restructure

Due to the open position for Vice Chair and considering the talents of the remaining officers, Greg proposed to restructure the positions. He made a motion to realign the officer positions to: Greg as vice chair, Jean as treasurer, and to appoint Jamie Schwaba (with her approval) as secretary. The motion was seconded by Heidi. The motion carried.

To cement discussions regarding dues being required of board members, it was decided that the membership dues requirement be waived for members of the Board.

After discussion regarding the member benefit of promoting individual artist events, it was decided to extend that benefit to include activities in which the member or members participate.

Family Art Day

David and Greg received the evaluations for last year’s Family Art Day. The city of Winona submitted the final report prior to the deadline. The application for Family Art Day 2016 is due April 1, 2016. Vicki will oversee this year’s project in collaboration with other RAA members. Mary Feathergill is retrieving information from Bernadette’s computer to aid in writing this and future grants.

Fence Project

Julia Crozier has agreed to complete the fence project. The capstone is expected to be finished in the spring, before the project deadline.

Bluff Country Art Tour

The Bluff Country Art Tour has asked RAA to allow them to use RAA’s mailing address as the return address on their mailings for this year. In discussions with their representative, RAA has proposed that the organization join with RAA for their future events. Their artists becoming members of RAA and RAA being the umbrella organization for obtaining grants and filling the role of fiscal agent so to speak.

Winona State University

Roger Boulay of Minnesota Artists contacted RAA and Dirk Nelson. The is a workshop for individual artists to be held in March. RAA may be a sponsor at no expense.

There may be a visual art exhibit this summer at the Paul Watkins Gallery where RAA’s artist members may exhibit their work and offer it for sale.

Main Street Initiative

There will be artist displays in downtown Winona business windows that are currently underused.

Big Muddy Brew & Que will be held September 4, Labor Day, in Levee Park. FAA will be organizing a Craft Fair as part of the event.

The Membership/Communications Committee will meet at the Chamber of Commerce at 2 p.m. on Thursday, February 16. Plans for a networking event will be developed and discussed. It was suggested the network event be called “Arts Schmooze”.

Taff Roberts will present his film, Attempting the Northwest Passage, on February 27 as part of the Frozen River Film Festival.

Greg presented the Treasurer’s Report. He reported a bank balance of $5,508.74 made up of $4,223.42 for the fence project and $1,285.32 for general use. Donations have been received in Bernadette’s memory, some of which have been designated to support Family Art Day. The treasurer’s report was accepted.

A date needs to be set for a committee meeting. The committee will set this meeting by email to be held before the end of January with the date recurring each month.

Vicki will send emails to supporters to promote memberships.

The committee will make plans for upcoming Network nights.

The website, domain, and hosting, as well as all the Google accounts have been updated with new passwords which have been made available to the Executive Committee in a secured area of Google Drive.

The Board also agreed to have recognition of past Board Members on the website.

Projects and Grants

The Frozen Film Festival is dedicating the Sunday of the Festival to Bernadette Mahfood. RAA and other artists and organizations have been invited to have tables at the event. The Board agreed to have a table with a banner. The details will be decided at the next committee meeting.

Family Art Day

Julia Crozier conveyed Bernadette’s files regarding Family Art Day to Vicki. They are being sorted and organized. Vicki has agreed to be the Coordinator of the next Family Art Day along with several people to work as a team. Jamie Schell, Jamie Schwaba, and Greg have volunteered to be on that team.

She has a copy of the last SEMAC grant application to use as a guide for this year’s. There are several people who have expressed an interest in writing the Family Art Day grant. A final report for last year’s event has to be submitted to SEMAC.

Fence Project

The SEMAC grant requires a main coordinator. Julia Crozier is interested in finishing this project. The Board agreed to have Julia fill that role and to be paid the $900 fee that is designated by the grant. The final report for the project has to be completed as well.

Vicki reported that she and Greg attended a meeting with WSU representatives regarding the Laird-Norton building. They discussed plan for the building which included a summer art project during GRSF at the Watkins Gallery. This would be a pilot program to start summer of 2017.

Jean made a motion to purchase QuickBooks for Nonprofits through Tech Soup for approximately $50 to use for accounting. The motion was seconded by Jamie Schwaba. The motion carried.

Announcements

Matt of “Art of the Rural” is interested in meeting with RAA. Art of the Rural elevates the rural arts field by facilitating rural-urban dialogue and cross-sector exchange through an NEA grant.

Vicki and Greg will be working on funding opportunities and follow up on the Laird-Norton building.

Winona Foundation’s grant process is opening through March.

Nomination Committee:

Heidi Bryant and Ted Haaland were presented as candidates for two of the three open board positions. Heidi will fill Maggie Jaqmin’s position until the end of Maggie’s term and Ted will fill Monta’s position until the end of Monta’s term. A motion to approve both candidates was made by Andy. The motion was seconded by Jamie Schell. The motion carried.

Announcements

The Made in Winona Project through the Main Street Program continues through March 2016. This project offers local artists window space in vacant or underutilized store fronts.

The Board discussed the Mission Statement. It was decided the mission statement to read as: River Arts Alliance supports and celebrates regional arts and culture by organizing educational programs, community events, and public art projects while promoting opportunities for artists and facilitating collaborations between organizations in the Winona region. A motion was made by Andy to change the bylaws to include the revised mission statement. The motion was seconded by Jamie. The motion carried. The revised bylaws are attached to and are a permanent part of these minutes.

Monta walked through the website and the Board discussed the presentation, making comments and suggestions. There will be a meeting of the Membership and Communications Committees for further progress on the site.

The discussion concentrated on a soft membership campaign to start the ball rolling for enrolling members.

The mailing list is being compiled. A budget is being developed.

Layouts for stationery are in place.
Jean is developing a brochure. Vicki is working on the letter.

Communications

Monta plans to bring the web site live before the next meeting. There are difficulties getting the Buzz calendar embed to work as desired. Monta is researching WordPress membership plug-in, as well as a newsletter plug-in.

Grants Committee

Andy reported on a potential Arts Place grant to develop a Winona Arts District. This grant is in collaboration with Southeast Minnesota Initiative Foundation (SMIF), Main Street, WSU, City of Winona, and RAA.

Bernadette reported that RAA is not eligible for the SEMAC grant for operational expenses. The 501(c)3 status must be held for three years to be eligible. She also reported that since the City of Winona applies for the Family Art Day grant from SEMAC, RAA should be eligible for a capital grant up to $10,000 for the fence project.
SMIF also has an economic development grant for beautification for which RAA may be eligible.
Andy made a motion to apply for a grant from SEMAC for Phase 1 of the HBC fence project.
